Quotations
All quotations are non-binding, subject to product availability, and may be modified or withdrawn at any time prior to acceptance of an order. ARO Universal reserves the right to correct typographical errors, pricing errors, product descriptions, specifications, availability information, or other inadvertent errors contained in any quotation or communication.
Orders and Acceptance
Purchase orders submitted by customers constitute an offer to purchase and do not constitute acceptance by ARO Universal. Orders become binding only upon written acceptance or order confirmation by ARO Universal Trading LLC.
ARO Universal reserves the right to accept or reject any order, in whole or in part, subject to product availability, commercial considerations, credit approval, export compliance requirements, or other reasonable business considerations.
Pricing
Prices are subject to change prior to written acceptance of an order. Unless expressly stated otherwise in writing, prices do not include taxes, duties, freight, insurance, customs charges, brokerage fees, inspection fees, or other governmental or third-party charges, which shall be the responsibility of the customer.
Payment
Payment terms will be specified in the applicable quotation, order confirmation, or invoice. Late or overdue payments may be subject to interest, collection expenses, reasonable attorneys’ fees, and other costs to the extent permitted by applicable law.
ARO Universal may suspend shipment or performance when payments are overdue or when reasonable concerns arise regarding the customer’s ability to meet its payment obligations.
Delivery
Any delivery or shipment dates provided by ARO Universal are estimates only unless expressly guaranteed in writing. ARO Universal shall not be liable for delays caused by circumstances beyond its reasonable control.
Such circumstances may include, without limitation, transportation disruptions, carrier delays, port congestion or closures, customs delays, supplier delays, shortages, labor disputes, strikes, natural disasters, severe weather, war, civil disturbances, governmental actions, changes in laws or regulations, trade restrictions, sanctions, epidemics, or other events affecting the international supply chain.
Inspection and Claims
Customers are responsible for inspecting products promptly upon receipt.
Claims relating to shortages, visible damage, incorrect products, or shipping discrepancies must be submitted to ARO Universal in writing within five (5) business days following delivery, together with reasonable supporting documentation.
Failure to provide timely notice may result in the claim being denied to the extent permitted by applicable law.
Returns and Cancellations
Returns require prior written authorization from ARO Universal. Products returned without authorization may not be accepted.
Special orders, custom products, products sourced specifically for a customer, or products designated as non-returnable may not be eligible for return or cancellation.
Any approved return may be subject to applicable restocking, transportation, inspection, or handling charges.
Warranty
Unless expressly stated otherwise in writing, ARO Universal passes through to the customer only the warranty, if any, provided by the original manufacturer.
To the maximum extent permitted by applicable law, ARO Universal makes no additional warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
Priority of Written Agreements
In the event of any conflict between these Terms of Sale and a written quotation, purchase agreement, order confirmation, or other agreement expressly accepted by ARO Universal Trading LLC, the terms of such written agreement shall control.
To the maximum extent permitted by applicable law, ARO Universal’s total liability arising out of or relating to the sale of any product shall not exceed the purchase price actually paid to ARO Universal for the specific product giving rise to the claim.
ARO Universal shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including, without limitation, loss of profits, loss of revenue, loss of business, loss of production, business interruption, or loss of use, arising from or related to the purchase, shipment, delivery, use, or performance of any product.
Nothing in these Terms shall exclude or limit liability to the extent that such liability cannot lawfully be excluded or limited under applicable law.
These Terms and any transaction with ARO Universal Trading LLC shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict-of-law principles, unless otherwise expressly agreed in writing.
Shipping methods are selected based on customer requirements and the terms established in the applicable quotation or order confirmation and may include air freight, ocean freight, courier services, or ground transportation.
Shipping, freight, insurance, handling, and related transportation charges will be identified separately unless expressly included in the quoted price.
International customers are responsible for complying with applicable import regulations and for obtaining required import licenses, permits, approvals, registrations, or authorizations in the destination country, unless otherwise expressly agreed in writing.
Customers are also responsible for applicable import duties, taxes, customs charges, and other governmental fees according to the agreed Incoterm® and applicable law.
Visible shipping damage should be reported to the carrier and ARO Universal immediately upon delivery and documented whenever reasonably possible.
Shipments may be delayed due to customs procedures, transportation disruptions, port congestion, weather conditions, governmental actions, supplier delays, or other circumstances beyond ARO Universal’s reasonable control.
Unless otherwise expressly agreed in writing, all international quotations and sales will be subject to the Incoterms® 2020 rule specified in the applicable quotation, order confirmation, commercial invoice, or sales agreement.
The applicable Incoterm® 2020 rule and named place, destination, or port will determine the respective responsibilities of ARO Universal and the customer regarding delivery obligations, allocation of costs, transportation, insurance where applicable, customs formalities, and transfer of risk.
Incoterms® 2020 rules are published by the International Chamber of Commerce (ICC).
In the event of any inconsistency between this general policy and the specific Incoterm® stated in an accepted quotation, order confirmation, invoice, or written sales agreement, the specific agreed Incoterm® and named place or port shall control.
ARO Universal Trading LLC conducts its business in accordance with applicable United States export control laws, economic sanctions, trade restrictions, and other applicable international trade regulations.
Transactions may be subject to compliance review, including verification of the purchaser, end user, end use, destination, intermediaries, freight forwarders, financial institutions, and other parties involved in the transaction.
Customers are responsible for providing accurate, complete, and truthful information regarding the purchaser, consignee, end user, intended end use, destination, and other information reasonably requested by ARO Universal for compliance purposes.
Customers are also responsible for obtaining any licenses, permits, approvals, or authorizations required under the laws and regulations applicable to them or in the country of importation.
Products purchased from ARO Universal must be used, transferred, exported, re-exported, or otherwise handled for lawful purposes and in compliance with applicable U.S. export control and sanctions laws and regulations.
ARO Universal reserves the right to request additional documentation or information when reasonably necessary to evaluate a transaction for compliance purposes.
ARO Universal may suspend processing, delay shipment, refuse, cancel, or terminate any transaction when reasonably necessary to comply with applicable laws, regulations, sanctions, export controls, internal compliance requirements, or requests from competent governmental authorities.
ARO Universal shall not be required to proceed with any transaction that it reasonably determines may violate applicable law or expose the company to regulatory or compliance risk.
